Introduction and Acceptance of These Terms

These Terms and Conditions ("Terms") govern your access to and use of the websites, applications, and services provided by Boon AI Inc. ("Boon," "we," "us") (together, the "Services"). By accessing or using the Services you agree to these Terms. If you do not agree to these Terms, do not use the Services.

Eligibility and Authority

You must be at least 18 years old and able to form a binding contract to use the Services. The Services are intended for business use. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and "you" includes that organization.

Accounts and Access

You are responsible for your account credentials, for all activity under your account, and for ensuring information you provide is accurate. Notify us promptly of any unauthorized use. You are responsible for having the rights and permissions needed to connect third-party tools and share content through the Services.

Description of Boon’s Services

Boon provides a trust layer for B2B commerce: agent-to-agent trust workflows that help buyers and sellers move from claims to evidence using connected tools, trust scoring, explainable summaries, and human review. Features may be added, changed, or removed over time, and some capabilities may be offered in beta or preview form.

Acceptable Use

• Do not misrepresent your identity, your organization, or the evidence you submit.
• Do not attempt to manipulate trust scores, ledger records, or verification outcomes.
• Do not use the Services to violate law, third-party rights, or third-party platform terms.
• Do not probe, disrupt, reverse engineer, or overload the Services, or access them by automated means except through interfaces we provide.
• Do not upload malicious code or content that is unlawful, infringing, or deceptive.

Customer Content, Inputs, and Submitted Information

You retain ownership of content, inputs, and other information you submit to the Services. You grant Boon a limited license to host, process, and display that content as needed to provide the Services. You are responsible for having the necessary rights to the content and connected data you provide, and for the accuracy of the information you submit.

AI-Generated Outputs and Human Review

The Services use AI systems to assemble evidence, generate summaries, and suggest actions. AI outputs may be incomplete or inaccurate and are provided for informational purposes to support — not replace — your judgment. Trust scores and summaries are not guarantees of any party’s performance, creditworthiness, or conduct. You are responsible for decisions made using the Services, and material actions should pass your own human review.

Intellectual Property

The Services, including software, design, trust methodology, and branding, are owned by Boon and its licensors and are protected by intellectual-property laws. Except as expressly permitted, you may not copy, modify, distribute, or create derivative works from the Services.

Third-Party Services and Integrations

The Services can connect to third-party products. Your use of those products is governed by their own terms and privacy policies, and Boon is not responsible for third-party services. Integration availability may change if third-party APIs change.

Fees, Credits, Billing, and Taxes

Parts of the Services are available free of charge, and paid plans run on Boon credits. Credits are consumed when an agent generates an outcome, and the credit requirement can depend on the workflow and outcome type. Fees, included credits, and billing terms for paid plans are described on our pricing page and are otherwise governed by the applicable order form or subscription agreement. You are responsible for any taxes that apply to your purchases under applicable law.

Confidentiality

Each party may receive non-public business information from the other in connection with the Services. The receiving party will use that information only as needed to use or provide the Services and will protect it with reasonable care. If you and Boon have signed an agreement with confidentiality obligations, that agreement controls over this section.

Disclaimers

We aim to keep the Services available and performant, but they are provided "as is" and "as available." We do not warrant uninterrupted or error-free operation. Scheduled maintenance and factors outside our control may affect availability. To the maximum extent permitted by law, Boon disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability

To the maximum extent permitted by law, Boon will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. To the maximum extent permitted by law, Boon’s total liability for claims relating to the Services will not exceed the amounts you paid to Boon for the Services in the twelve months before the claim.

Indemnification

You will defend and indemnify Boon against claims arising from your content, your use of the Services in violation of these Terms, or your violation of law or third-party rights.

Suspension and Termination

You may stop using the Services at any time. We may suspend or terminate access if you materially breach these Terms, create risk for other users, or where required by law. Sections that by their nature should survive termination will survive.

Changes to the Service or These Terms

We may modify the Services over time, including adding, changing, or removing features. We may also update these Terms from time to time. If changes are material we will provide reasonable notice, such as posting on this page with a new "Last Updated" date. Continued use of the Services after changes take effect constitutes acceptance.

Governing Law

These Terms and any dispute arising out of or relating to these Terms or the Services are governed by the laws of the State of New York, without regard to its conflict-of-laws principles.
